Terms of Service

These Terms of Service ("Terms") constitute a binding legal agreement between you (individually and on behalf of your organization, "you" or "Customer") and Punchitect Labs LLC, a New York limited liability company ("Punchitect," "we," "us," or "our"), governing your access to and use of the Punchitect web application and any related tools, extensions, or APIs (collectively, the "Service").

By signing in, registering a firm, or otherwise using the Service, you represent that you have read, understood, and agree to these Terms. If you are accepting these Terms on behalf of an organization, you represent that you have the authority to bind that organization, and "you" includes that organization.

1. The Service

Punchitect is a web-based field observation, punch list, and site walk management tool designed for architecture, design, and engineering professionals. It enables users to create, manage, and export punch lists linked to floor plan images, optionally with automated room detection via integration with Autodesk Revit.

Zero file-hosting architecture: Punchitect does not store your project files. All project data — floor plans, photos, punch list items, and reports — is stored in your Microsoft OneDrive, legacy SharePoint folder, or IT-approved SharePoint Enterprise workspace. We access your files only via the Microsoft Graph API with permissions you grant, solely to provide the Service.

2. Accounts and Access

2.1 Authentication and Sign-In Modes

The Service uses Microsoft OAuth for authentication. You must sign in with a Microsoft account (personal or organizational). You are solely responsible for maintaining the security of your Microsoft credentials. We do not store your Microsoft password.

Punchitect currently presents two sign-in paths. Sign in with Microsoft is the self-serve path for individual users, trials, and firms using Personal OneDrive or legacy SharePoint folder-link storage. Sign in with SharePoint Enterprise is for organizations whose IT administrator has configured Punchitect for an approved SharePoint site or library using selected-site access. Both paths use Microsoft's identity platform; SharePoint Enterprise is not a separate Punchitect password or file-hosting service.

2.2 Firm Administrator

The first user from an organization to register on the Service becomes the Firm Administrator ("Admin"). The Admin is responsible for:

The Admin's Microsoft tenant ID is used to identify the organization. One trial and one firm registration are permitted per Microsoft tenant.

2.3 Eligibility

You must be at least 18 years old to use the Service. By accepting these Terms on behalf of a business or organization, you represent that you have the legal authority to do so.

2.4 Account Security

You are responsible for all activity that occurs under your account. You must notify us immediately at [email protected] if you become aware of any unauthorized access to your account or Microsoft credentials.

3. Subscription Plans and Billing

3.1 Plans

Punchitect offers the following subscription plans:

After a Free Trial expires without conversion to a paid plan, access to the Service is suspended. Your project data remains safe in your Microsoft OneDrive or SharePoint and is not affected by subscription status. Subscribing to a paid plan immediately restores access.

3.2 Billing

Paid subscriptions are billed monthly through Stripe, Inc. By subscribing, you authorize Punchitect to charge your designated payment method on a recurring monthly basis until you cancel. All prices are in US dollars and do not include applicable taxes, which are your responsibility.

3.3 Cancellation

You may cancel your subscription at any time through the billing portal accessible from your account. Cancellation takes effect at the end of the current billing period. We do not issue prorated refunds for unused portions of a billing period.

3.4 Price Changes

We reserve the right to change subscription pricing. We will provide at least 30 days' written notice to the Firm Administrator's email address before any price increase takes effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.

3.5 Payment Disputes

If you believe a charge is incorrect, contact us at [email protected] within 30 days of the charge. We will investigate and respond promptly. Initiating a chargeback without first contacting us may result in suspension of your account.

4. Customer Data and Intellectual Property

4.1 Ownership of Customer Data

You retain all ownership rights to your project data, including floor plans, photographs, punch list content, and any other content you create or upload using the Service ("Customer Data"). We claim no ownership over Customer Data.

4.2 License to Provide the Service

You grant Punchitect a limited, non-exclusive, non-transferable license to access and process your Customer Data solely as necessary to provide the Service to you. This includes accessing your Microsoft OneDrive or SharePoint folder via the Graph API to read and write project files on your behalf. This license terminates when you delete the relevant data or terminate your account.

4.3 Punchitect Intellectual Property

The Service, including its software, design, trademarks, and content, is owned by Punchitect Labs LLC and is protected by applicable intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes. You may not copy, modify, distribute, sell, or sublicense any part of the Service.

4.4 Feedback

If you provide suggestions, feature requests, or other feedback about the Service ("Feedback"), you grant Punchitect a perpetual, irrevocable, royalty-free, worldwide license to use, incorporate, and commercialize that Feedback without restriction or compensation to you. Feedback does not include your Customer Data.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

6. Microsoft Graph API and Storage

By configuring a Microsoft OneDrive or SharePoint folder for use with the Service, you authorize Punchitect to access that storage location via the Microsoft Graph API using delegated permissions tied to your Microsoft account. The requested permissions depend on the sign-in and storage mode you choose:

In SharePoint Enterprise mode, the Firm Administrator or IT administrator may provide site, drive, and root folder identifiers so Punchitect can target the approved SharePoint workspace. We access only the storage location configured for the Service. You may revoke these permissions at any time through your Microsoft account or Microsoft tenant settings, which will prevent the Service from accessing your files but will not affect the files themselves. You are responsible for ensuring your organization's Microsoft policies permit the use of third-party applications with OneDrive or SharePoint.

7. Revit Integration

The Punchitect pyRevit extension ("Extension") is provided as a supplementary tool for use with Autodesk Revit. The Extension requires an active Professional or Studio subscription. The Extension is provided "as is." We make no warranty regarding its compatibility with any specific version of Autodesk Revit, pyRevit, or any other third-party software. Punchitect is not affiliated with, endorsed by, or sponsored by Autodesk, Inc. "Autodesk" and "Revit" are registered trademarks of Autodesk, Inc.

8. Service Availability

We will use commercially reasonable efforts to make the Service available. However, we do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to scheduled maintenance, unplanned outages, actions of third-party service providers (including Microsoft, Cloudflare, and Stripe), or circumstances beyond our reasonable control.

We do not currently offer a formal Service Level Agreement (SLA). If your organization requires contractual uptime commitments, contact us at [email protected] to discuss enterprise arrangements.

9. Termination and Suspension

9.1 Termination by You

You may terminate your account at any time by canceling your subscription and contacting us at [email protected] to request account deletion. Termination does not entitle you to a refund for any prepaid subscription period.

9.2 Termination or Suspension by Punchitect

We reserve the right to suspend or terminate your access to the Service immediately, with or without notice, if:

Upon termination, your right to access the Service immediately ceases. Your project files remain in your Microsoft OneDrive or SharePoint and are unaffected. We will retain your firm registration and billing records for the period required by applicable law (minimum 3 years) and then delete them unless a longer retention period is required.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Service will meet your specific requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) any data processed through the Service will be accurate or reliable; or (d) any defects will be corrected.

Important for construction and field use: The Service is a documentation and project management tool. It is not a substitute for licensed professional engineering judgment, structural analysis, or code compliance review. Do not rely solely on the Service for safety-critical construction decisions.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PUNCHITECT LABS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU PAID TO PUNCHITECT IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. In such jurisdictions, our liability is limited to the greatest extent permitted by applicable law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Punchitect Labs LLC and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service in violation of these Terms; (b) your Customer Data, including any claim that it infringes the intellectual property or privacy rights of a third party; or (c) your violation of any applicable law or regulation.

13. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. This obligation does not apply to information that is or becomes publicly known through no fault of the receiving party, or that is required to be disclosed by law or court order.

14. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' advance notice by email to the Firm Administrator's registered email address and by posting the updated Terms at this URL. For non-material changes (such as clarifications or corrections), we will update the "Last updated" date above. Continued use of the Service after the effective date of any change constitutes your acceptance of the updated Terms. If you do not agree to a material change, you must stop using the Service before the effective date of that change.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in New York County, New York, and both parties consent to the personal jurisdiction of such courts.

Before initiating formal legal proceedings, you agree to attempt to resolve any dispute informally by contacting us at [email protected]. We will attempt to resolve the dispute informally within 30 days.

16. Export Compliance

You may not access or use the Service if you are located in a country or region subject to a US government embargo, or if you are on any US government list of prohibited or restricted parties. You represent that you are not such a person or entity and that your use of the Service complies with all applicable export control and sanctions laws.

17. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms to the extent caused by circumstances beyond that party's reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, internet or telecommunications failures, government actions, or actions of third-party service providers.

18. General

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Punchitect Labs LLC regarding the Service and supersede all prior agreements, representations, and understandings.

Severability. If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Punchitect Labs LLC.

Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may freely assign our rights and obligations, including in connection with a merger, acquisition, or sale of assets.

Notices. All notices from you to us must be sent to [email protected]. We may provide notices to you via your registered email address or by posting to the Service.

No Third-Party Beneficiaries. These Terms do not create any third-party beneficiary rights.
